Completing the Certificate of Incumbency
As part of your company registration, you will need to apply for a Certificate of Incumbency. A Certificate of Incumbency is an internal document that confirms the authority of the officer. Also referred to as an Incumbency Certificate, a Certificate of Officers, an Officer/Secretary Certificate or Register of Directors, the Certificate of Incumbency is signed by any company officer or by the company secretary, who must be duly elected or qualified to undertake the position.
The purpose of the Certificate of Incumbency is to confirm the identity and authority of officers, directors, managers and members. This Certificate is usually required by receiving organizations in foreign countries, to ensure that the person who singed the documents on behalf of the company is actually authorized to do so.
Once you have registered your offshore business, you will need to apply for the Certificate of Incumbency.
