Completing the Articles of Association

To register an offshore company, you will be provided with the Articles of Association. However, you must first submit certain information in relation to your company, including its full legal name, the legal formation of the company and the company’s Statement of Intention, which must define the internal structure of the company. Submitting this information will facilitate the acquisition of the Articles of Association.

The Articles of Association is an important document in that it forms the basis of the company’s constitution. The Articles of Association contains the rules of your company’s internal regulation and management. The articles outline such details as directors’ powers and responsibilities, the share capital, interpretation and limitation of liability, and the company’s administrative arrangements, amongst others. They essentially set out the rules for the running of the company’s internal affairs.
