Registering a Switzerland Offshore Company

The 4 most common types of Switzerland offshore companies that can be established, include; Aktiengesellschaft (AG), Société Anonyme (SA), Gesellschaft mit beschränkter Haftung (GmbH) and Société à Responsibilité Limité (SARL). In order to register any type of corporation, the following documents need to be submitted to the Commercial Register;

• Notarized Public Deed of Incorporation
• Articles of Incorporation
• Memorandum and Articles of Association
• Bank Confirmation stating that the share capital required is in the account
• Consent to act forms signed by the proposed directors
• Declaration of applicants
• Completed official application form detailing the documentation and a notarized signature of the representative of the company.

The minimum share capital required for AG/SA is of CHF 100,000; this amount needs to be fully paid upon registration. For a GmbH/SARL, the minimum capital requirement is CHF 20,000 that needs to be paid upon incorporation.

There is a minimum of one shareholder and one director for each type of incorporation. In regards to the directors, they must be a natural person as well as a Swiss resident – corporate bodies are not permitted.

Switzerland is comprised of 26 cantons and each canton has its own different tax system. In general, some cantons exercise low tax and some have a high tax, thus it is important to establish your company in the most favorable canton.
