Registering a Dominica Offshore Company

All offshore Dominica companies are regulated by the International Business Companies Act. This legislation regulates all offshore companies which are formed in Dominica, including;

• Dominica Private Limited Companies
• Dominica Limited Liability Partnership
• Dominica Sole Proprietor
• Dominica Public Companies
• Dominica Trusts

Dominica offshore companies are unable to offer their business services to Dominica residents, own any Dominican property, and provide banking, trust, insurance or re-insurance services unless they acquire the appropriate licenses.

In order to establish a Dominica company, the application of incorporation and the Memorandum and Articles of Association needs to be filed to the Dominica Registrar of Companies. The company must have a minimum of one shareholder and one director, with the details of both being kept away from public records to ensure high levels of privacy.

Additionally, an offshore Dominica company must have a registered office and a resident registered agent in Dominica. There is no minimum capital requirement to register the company however the standard authorized share capital is set at US$100, 000.
