Registering a Denmark Offshore Company
There are two types of companies which can be formed in Demark. A public limited company – Aktieselskab (A/S) – and a private limited company, also known as Anpartsselskab (ApS). The Memorandum and Articles of Association need to be submitted to the Companies Registry, with an ApS registering at the Danish Commerce and Companies Agency as well.
The minimum capital for an A/S is DKK 500, 000, with 25%, DKK 125, 000, being paid upon formation of the company. The minimum capital requirement for an ApS is DKK 80, 000 which needs to be paid fully before the private company is registered.
An A/S company requires the minimum of three individuals in the Board of Directors, with a minimum of one director being an EU citizen. For an ApS the minimum requirement is one director who has to be a natural person and an EU citizen.
