Registering a Mauritius Offshore Company

Mauritius offshore companies operate under the Financial Services Development Act of 2007, which enforces laws governing the establishment of the two types of Mauritius companies;

Global Business Category 1 (GBC1): is a form of offshore company, which enables international business to be conducted in Mauritius, by employees that are not local residents. A GBC1 requires local residents to be the directors of the company as well as having stringent rules in place in order to operate.

Global Business Category 2 (GBC2): is a form of offshore company which is similar to most offshore companies across the globe. It does not require a local resident to be the director; in addition it is exempt from taxes implemented in the Mauritius republic.

Both GBC1 and GBC2 require a minimum of one director and one shareholder in order to operate. The regulations regarding each type of offshore entity are different in regards to taxation, with GBC1 subjected to a 15% income tax and exempt to capital gains tax whereas GBC2 is exempt to all types of taxation.

The minimum capital requirement for GBC1 is US$1 million with a par value for shares, while for a GBC2 company there is no minimum capital requirement. The procedure to establish a GBC1 can take up to 3 weeks whereas the GBC2 only requires 3 working days. This is a result of more stringent regulations for the establishment of a GBC1 in contrast to GBC2.
