Registering a Cyprus Offshore Company

Since joining the EU in May 2004, Cyprus has implemented a 10% corporate tax for companies known in Cyprus as an IBC, or International Business Company. Cyprus offers the opportunity for foreign investors to establish a company, and to take advantage of the country’s low corporate tax rate – one of the lowest in Europe.

A Cyprus International Business Company (IBC) is a limited liability company (LLC) which is limited by shares, or personal guarantee. In order to register a Cyprus IBC LLC, the relevant documents including the Memorandum and Articles of Association, and completed application form need to be submitted to the Registrar of Companies in Cyprus.

As the Cyprus IBC LLC is traditionally limited by shares, there is a minimum requirement of 1 and maximum of 50 shareholders for the company. It is vital to file the relevant documents containing required information regarding the shareholder details to the Registrar of Companies. In addition, in order to establish a Cyprus IBC, the minimum capital requirement is €1000.
