United States Corporate Law
United States Corporate Law is the combination of the 50 kinds of corporate law systems of each state. Some corporate law systems are significantly more important, like the MBCA (Model Business Corporation Act) which is endorsed by 24 states. All United States companies are however free to register in any state they choose under the United States Constitution. This is intended to create competition between states, in order to attract better business. This is a major reason as to why Delaware is such a popular state for company registration, where Delaware’s corporate law has proved favorable.
