The Certificate of Formation is a document that corresponds to a Delaware LLC corporations Certificate of Incorporation. In the state of Delaware in the United States, the Certificate of Formation document is filed with the Secretary of State to register a limited liability company. In most other states around the US, a document known as ‘articles of organization’ is used.
