Registering a BVI Offshore Company

All British Virgin Islands companies are registered under the Business Companies Act 2004. Being a former British Colony, the BVI legal system is largely based on the English legal system; providing investors a familiar legal framework to establish their company under.

In order to set up a BVI offshore company, individuals and companies are required to file a completed official application and all necessary documents to the Registrar of Companies in the BVI. The required documents include legal documents such as the Memorandum and Articles of Association.

The minimum amount of authorized share capital for a BVI offshore company is USD$50,000, with no specific minimum capital requirement. Furthermore, all BVI companies are required to have a minimum of one shareholder and one director, both of which can either be an individual or corporate body. Due to the high levels of privacy and confidentiality that the BVI offers, the details of directors and shareholders are kept from public records. All BVI companies are also required to have a registered office in the BVI, details of which must be registered with the Registrar of Companies.
