Registering a Belize Offshore Company
Belize offshore companies are regulated under the International Business Companies Act 1990, which is based on the BVI IBC Act 1984 and Bahamas IBC Act 1989. According to the Belizean IBC Act, a Belize offshore company is not permitted to conduct any business with individuals who are residents of Belize. Therefore all business activity of a Belize offshore company is to be carried out offshore.
All relevant legal documents, including the Memorandum and Articles of Association must be submitted to the Registrar of Companies in Belize. Other requirements that investors who wish to establish a Belize offshore company must fulfill include the following;
- Minimum of 1 shareholder – details of whom are kept off public records.
- Minimum of 1 director – details are kept off public records. Corporate bodies can be the director.
- Standard share capital is US$50,000.
Belize offshore companies are required to have a registered office and registered agent in Belize who may be a corporate body or individual Belizean resident. The company is not required to submit audited accounts or annual returns with the regulatory authorities however they should keep financial records to reflect the financial standing of the business.
